To set up a company in Korea, a foreigner proceeds in this order: foreign-investment report -> company incorporation registration -> business registration -> foreign-invested company registration. It usually takes about 2 weeks. Completing this process also qualifies you to apply for a D-8 (corporate investment) visa.

Establishing a foreign-invested company

For foreigners who invest 100 million won or more for the purpose of participating in management and acquire at least 10% of voting shares.

  1. Foreign-investment report (KOTRA or a foreign-exchange bank)
  2. Remit the investment funds (temporary account at a foreign-exchange bank)
  3. Company incorporation registration (court)
  4. Industry-specific licenses and permits
  5. Incorporation report and business registration (tax office)
  6. Foreign-invested company registration - within 60 days of completing the investment; a fine applies if not registered

Incorporation and business registration

You follow the same Commercial Act procedure as Korean nationals, with a foreign-investment report before and a foreign-invested company registration after.

  • In practice most are stock companies, but a limited company is also an option
  • Draft articles -> promoters/board meeting -> pay in capital (under 1 billion won, a balance certificate may substitute)
  • Incorporation registration can use the Supreme Court Internet Registry e-form
  • Business registration within 20 days of starting business; apply online via Hometax
  • Restaurants, academies, and the like need separate licenses from the district office or education office

Foreign-investment report

A preliminary step done before paying in the actual investment; submit the report to KOTRA or a foreign-exchange bank.

  • Documents - 2 copies of the report, proof of nationality, and a power of attorney (if filing by proxy)
  • After the report is accepted, remit the funds to a temporary account at a foreign-exchange bank
  • If bringing foreign currency in directly, declare it at customs and receive a foreign-exchange declaration certificate
  • The report is not legally binding; if plans change you can file a change report

  • Industry licenses - e.g., restaurants (food-hygiene business report), academies (academy establishment registration)
  • After opening a corporate account, transfer the temporary-account balance to the new company account
  • Four-insurance establishment report - file all at once online at the Four Social Insurance portal (www.4insure.or.kr)
  • When drawing up contracts, pay stamp tax (electronic revenue stamp) based on the contract amount
